1. General provisions

1.0. This section establishes the fundamental principles of using the Portal, determines the legal nature of the relationship between the User and TCC LLC FZ, and also establishes the conditions that ensure maximum legal protection of the rights and interests of the Portal operator.

1.1. Ratetik is an online information platform that provides services for searching, viewing, evaluating, communicating, and purchasing subscriptions to digital services. All functions provided are for informational and advisory purposes only and are not financial, insurance or legal services within the meaning of UAE law.

1.2. The Terms govern any interaction of the User with the Portal, including, but not limited to: browsing pages, creating an account, posting content, reviews, paying for subscriptions, and using the internal messaging and communications system.

1.3. By accepting these Terms, the User confirms that he has full legal capacity, understands the legal consequences of his actions, and uses the Portal exclusively on his own behalf or on behalf of a legal entity that he duly represents.

1.4. The Company reserves the right to change, update, limit or discontinue any sections or functions of the Portal at any time without prior notice to users and without liability for the possible consequences of such actions.

1.5. Nothing in these Terms and Conditions shall be construed as creating an agency, joint venture, employment or representative office relationship between the User and the Portal Operator. The User acts solely on his own behalf and is not authorized to act on behalf of TCC LLC FZ without prior written consent.

1.6. By using the Portal, the User unconditionally agrees that all actions performed from his account are considered to be performed by him personally. The User undertakes to ensure an adequate level of protection of his data and bears full responsibility for all consequences of unauthorized access.

1.7. In the event of any discrepancies between the texts of the Terms published in different languages, the English version of the document shall prevail.

Legal Status: TCC LLC FZ is a legally registered company in the free zone of the emirate of Dubai, operating under a license issued by the relevant regulatory authority. The company has full rights to carry out operational, marketing and information activities related to the Ratetik portal.

Property rights:

TCC LLC FZ is the sole and legal owner of the “Ratetik” brand, trademarks, domain name, user interface, database, design, source code, software algorithms, API, logos, texts, graphic elements, video materials, interfaces, instructions, technical documentation and any other intellectual property objects created or used within the framework of the Portal's activities.

Any use, copying, modification, distribution or commercial exploitation of the said materials without the written consent of TCC LLC FZ is a violation of intellectual property rights and may give rise to civil, administrative or criminal liability in accordance with UAE law and international treaties.

No liability for third-party links:

Ratetik may contain links to third-party websites or services that are not under the control of TCC LLC FZ. The company is not responsible for the content, privacy policies, or security of such third-party resources and does not guarantee their accuracy or legality.

Right to update information:

The Company has the right to change its contact details, corporate structure, address, domain or other data at any time without prior notice to users. The current version of this information is always published on the Portal.

3. Access and registration

3.1. To fully use the Portal's functionality (creating a company profile, posting reviews, purchasing subscriptions, communicating, receiving consulting services, etc.), account registration is required . Registration is a legal act of acceptance of these Terms by the User and creates a contractual relationship between the User and TCC LLC FZ.

3.2. Registration is possible through:

email (with confirmation via verification link);
authorization via Google or Facebook (via secure APIs that meet OAuth 2.0 security requirements).

3.3. The User guarantees that during registration he/she provides reliable, complete and up-to-date data. In case of change of such data, the User is obliged to update it immediately. Providing false or incomplete data may lead to blocking of the account without the right to recovery.

3.4. The User is fully responsible for maintaining the confidentiality of his/her credentials (login, password, access token) and for all actions performed from his/her account, regardless of whether they were authorized. In case of detection of unauthorized access, the User is obliged to immediately notify the Portal administration.

3.5. The Portal uses modern technical protection measures (encryption, multi-level authentication, tokenization) to maintain data security, however, the User acknowledges that no system can guarantee absolute security, and agrees that TCC LLC FZ is not responsible for any consequences of third-party access in the event of the User's negligence.

3.6. We reserve the right to refuse registration, temporarily suspend, limit or completely delete an account without prior notice if:

false or unreliable data was detected;
the user's activity violates UAE legislation, international regulations or the Portal's policies;
the user uses the Portal for unauthorized advertising, fraud, spam, bot activity or distribution of malware;
Attempts at unauthorized access, account duplication, or circumvention of technical system limitations were detected.

3.7. The Company is not obliged to provide an explanation for the refusal to register or blocking an account if such actions were taken on the basis of a violation of security, legislation or these Terms. The decision of the Portal administration is final and cannot be appealed.

4. Subscriptions and payments

4.1. Ratetik provides access to a free plan (Basic) and paid subscriptions (Pro, Premium) with extended functionality, as described on the site. The terms, prices and terms of subscriptions are an integral part of these Terms and are published on the Portal in the current version.

4.2. All monetary payments between the User and the Portal are made exclusively through the payment provider Stripe , which acts as an independent payment processor. Stripe provides processing, currency conversion, tokenization of payment data and transaction protection in accordance with international security standards (in particular PCI DSS Level 1 ). TCC LLC FZ does not store, process and has no access to users' payment details.

4.3. All payments on the Portal are made in United Arab Emirates Dirhams (AED) as the sole settlement currency. Payment may be initiated by the user in any other currency, however, in such case the payment system will automatically convert the amount to AED at the current rate of Stripe or the user's servicing bank. The Company is not responsible for possible differences in exchange rates or bank fees applied by third parties.

4.4. All prices on the Portal are quoted in AED and may or may not include Value Added Tax (VAT), depending on UAE law requirements and the user’s status. In the event of changes in tax rates or exchange rates, prices may be updated without prior notice.

4.5. Non-Refundability of Payments: All payments made through the Portal are final and non-refundable, except in cases where the service was not actually provided due to a technical error confirmed by an internal audit of TCC LLC FZ or Stripe. The Company is not obligated to provide refunds in cases of user error, double payment, currency conversion or bank refusal.

4.6. Automatic renewal of subscriptions:

The subscription automatically renews for the next period (monthly or yearly) with automatic debiting of funds via Stripe in AED.
The user has the right to cancel automatic renewal no later than 48 hours before the next debit date through their account settings.
Non-use of the Portal does not exempt the user from payment for the subscription period.

4.7. Security and Limitation of Liability: All payments are made via a secure connection using SSL encryption. The Company is not liable for any losses caused by the actions or inaction of payment systems, banks, currency converters or third parties involved in the payment process.

5. Use of the Portal

5.1. The User agrees to use the Portal solely for lawful purposes , honestly, in good faith, with respect for other users and third parties, and in accordance with applicable UAE law, international regulations and these Terms. The User confirms that he will not use the Portal for any unlawful, fraudulent or harmful activity, including to circumvent legal or technical restrictions.

5.2. It is strictly prohibited :

publish offensive, discriminatory, defamatory, immoral or false messages or reviews;
distribute content that contains obscene language, threats, pornographic, extremist or any other material that is contrary to public morality or UAE law;
create or manage fictitious accounts, manipulate ratings, falsify reviews, or take any action that may mislead users;
copy, modify, decompile, distribute or create derivative works based on the software code, database or content of the Portal without the prior written consent of TCC LLC FZ;
use any automated tools (bots, scripts, crawlers) to collect data or access the Portal's functionality;
attempt to hack, DDoS attacks, interfere with the operation of servers, bypass authentication systems or gain unauthorized access to the Portal's internal systems;
distribute malicious software or take any action that may harm the security, reputation or operation of the Portal.

5.3. In case of violation of any of the above prohibitions, TCC LLC FZ has the right to limit, suspend or completely delete the user's account without notice, as well as to report such actions to the relevant authorities. The user acknowledges that as a result of the violation, he may be held civilly, administratively or criminally liable in accordance with the laws of the UAE.

5.4. The User grants the Portal an irrevocable, non-exclusive, royalty-free, perpetual license to use, publish, translate, adapt, process, post, distribute and store his/her reviews, images, comments or other materials uploaded to the system. Such license grants TCC LLC FZ the right to transfer these materials to third parties for the purpose of ensuring the functioning of the Portal, marketing or information campaigns.

5.5. The user confirms that by uploading any content, he has all necessary intellectual property rights and does not violate the rights of third parties. In the event of claims by third parties, the user assumes full responsibility and undertakes to reimburse all costs, losses or fines that TCC LLC FZ may incur in connection with such violation.

6. Company and user content

6.1. Companies registered on the Portal are fully and unconditionally responsible for the accuracy, completeness, relevance and legality of the information posted on their pages, including but not limited to: text descriptions, photographs, logos, legal details, licenses, certificates, contact details and any other materials. The Company guarantees that such information does not violate the rights of third parties, does not contain false or misleading information and complies with the requirements of UAE legislation.

6.2. Ratetik has the exclusive right to conduct pre- or post-publication moderation of content at its sole discretion, including checking the materials for compliance with the requirements of these Terms, the Privacy Policy and applicable law. Ratetik may edit, restrict access to, temporarily hide, block or delete any content that:

violates the provisions of these Terms, the Privacy Policy or UAE law;
is false, inaccurate, misleading or manipulative;
contains defamatory, offensive, discriminatory, illegal or obscene statements;
infringes the intellectual property rights, copyrights or related rights of third parties;
contains hidden advertising or marketing materials without written consent from the administration;
may damage Ratetik's reputation or compromise user security.

6.3. Ratetik is not obligated to constantly monitor all user or company posts, but has the right to act at its own discretion in the event of complaints or reports of violations. In the event of detection of inaccurate or prohibited information, the company may be temporarily blocked and its content may be deleted without notice.

6.4. Ratetik acts as a neutral platform that provides technical means for posting and viewing information, but is not a party to any commercial, contractual or other legal relationship between users. Ratetik is not responsible for the content, accuracy, legality, quality or reliability of information posted by users or companies, as well as for any damages caused by the use of such information. Users act solely at their own risk and independently verify the reliability of the published data.

6.5. All reviews, ratings or comments left by users on the Portal are their personal opinion, which does not reflect the position of Ratetik or TCC LLC FZ. Ratetik is not obliged to confirm or deny the accuracy of such assessments, and is not responsible for any reputational consequences for companies or users.

6.6. If any user or third party believes that certain content violates their rights or the provisions of the law, they may contact Ratetik with a formal written request. Upon receipt of such notification, Ratetik reserves the right to conduct an internal investigation, temporarily restrict access to the content, or delete it without notifying the author.

6.7. Ratetik reserves the right to create company pages by automated means or manually , using open public information available on the Internet, in state registers or in publicly available sources (websites, social networks, directories, databases, etc.). Such pages are created solely for the purpose of providing users with the opportunity to leave reviews, ratings and comments on the activities of the relevant companies.

6.8. The copyright holder or official representative of the company for which such a page was created has the right to contact Ratetik to confirm ownership of the profile and obtain full control over the information posted on it. After confirming the rights, the company has the opportunity to update, correct or delete the content in accordance with the Portal's internal policies.

6.9. Ratetik is not responsible for the accuracy or completeness of automatically collected public information and reserves the right to update, correct or delete such data at its sole discretion or upon formal request from the copyright holder.

7. Responsibility

7.1. Ratetik provides the Portal “ as is ” (“as is”), without any express or implied warranties, including, but not limited to: warranties of fitness for a particular purpose, continuity of operation, accuracy, compliance with the user’s expectations, absence of errors, viruses or technical failures. The User acknowledges that the Portal may contain temporary restrictions, updates, delays or technical work that may affect the availability or performance of the service.

7.2. The Company shall not be liable — direct, indirect, contractual, tortious or otherwise — for any loss, damage or harm suffered by the user or a third party as a result of the use or inability to use the Portal, including, but not limited to:

financial losses, loss of profits, data, business reputation or anticipated benefits;
losses arising from temporary lack of access, technical failures, server outages, system updates or upgrades;
inaccuracies, errors, omissions or violations committed by users, companies or third parties who post content on the Portal;
delays or refusal to process payments by Stripe, banks, financial institutions or other external payment services;
consequences caused by the actions or inaction of third-party providers (including hosting providers, telecommunications companies, integration services);
any unauthorized interference, hacking, access to data or use of the service by third parties.

7.3. Ratetik does not guarantee that the content provided by users or companies is accurate, complete or legal. All information published on the Portal is provided for informational purposes only and the user uses it at his own risk .

7.4. In no event shall the total liability of TCC LLC FZ (Ratetik), its directors, employees, affiliates or partners to any user exceed the total amount actually paid by the user in the last 12 months for subscription or paid services of the Portal.

7.5. The User unconditionally agrees to indemnify TCC LLC FZ, its management, employees and partners from any claims, demands, losses or expenses (including legal costs) that may arise in connection with the use of the Portal, violation of these Terms or the rights of third parties.

7.6. All limitations of liability set out in this section apply to the maximum extent permitted by the laws of the United Arab Emirates.

8. Intellectual property

8.1. All materials, elements and objects of the Portal, including, but not limited to: logo, trademark, domain name, design, site structure, program code, database, texts, videos, graphics, photographs, animation, audio, documentation, technical instructions, API, security systems, algorithms, work schemes, metadata, as well as any derivative products, are the exclusive property of TCC LLC FZ and are protected by the current legislation of the United Arab Emirates, international intellectual property treaties (including the Berne Convention, the Paris Convention, the WIPO Treaty) and common law.

8.2. All rights not expressly granted to the User under these Terms remain with TCC LLC FZ. The User is not granted any rights, licenses or permissions to use any elements of the Portal, unless otherwise expressly specified in writing. Any reproduction, publication, distribution, public display, transmission, storage, modification, reverse engineering, decompile, decrypt or creation of derivative works without the written permission of TCC LLC FZ is strictly prohibited and is considered a violation of copyright.

8.3. The User acknowledges that all comments, ideas, suggestions, feedback or other materials submitted by him to the Portal or related to its use become the property of TCC LLC FZ without restrictions in time, territory or form of use. The User transfers all intellectual property rights to such materials to TCC LLC FZ free of charge from the moment of their submission.

8.4. In the event of infringement of TCC LLC FZ's intellectual property rights, the company reserves the right to initiate civil, administrative and criminal proceedings within the framework of UAE law and international jurisdictions. The infringer is obliged to compensate for all damages caused, including legal costs, court fees and reputational losses.

8.5. Ratetik may contain third-party software modules, codes or libraries used under open-source licenses. In such cases, the relevant elements are governed by the terms of these licenses, but do not affect the general ownership of TCC LLC FZ in the structure, integration and functional model of the Portal.

9. Privacy and data protection

9.1. The personal data processing policy is governed by the Privacy Policy , which is an integral part of these Terms.

9.2. By using the Portal, you agree to how we collect, process and store your data in accordance with the TCC LLC FZ Privacy Policy .

10. Termination of access

10.1. Ratetik has the right to suspend, restrict, temporarily block or completely delete a user's account, temporarily or indefinitely terminate access to any functions of the Portal without prior notice in cases where:

a violation of these Terms, the Privacy Policy, or any applicable law of the United Arab Emirates is detected;
the user provides false, incomplete or misleading information;
the user takes actions that may harm the security of the Portal, other users or the reputation of TCC LLC FZ;
facts of fraud, abuse of payment systems, attempts to circumvent technical restrictions, unauthorized access or interference with the operation of the service have been established;
a violation of third party rights, including intellectual property or privacy rights, has been identified;
the user uses the Portal to distribute spam, malware, fake reviews or other unscrupulous activity;
an order has been received from a court, regulatory or competent government body requiring the user to restrict access.

10.2. Ratetik reserves the right to suspend or close a user account due to prolonged inactivity (more than 12 months), as well as in the event of violations of security policies or technical anomalies.

10.3. The User acknowledges that termination or restriction of access may be carried out without any reimbursement, compensation or explanation from TCC LLC FZ. The Company is not liable for any consequences caused by such actions, including loss of data, ratings, reviews or commercial opportunities.

10.4. In the event of termination of access, the user is not entitled to a refund of the funds paid for the already active subscription period. No amounts paid by the user are subject to compensation or transfer, even in the event of early closure of the account at the initiative of the administration or the user.

10.5. The Company may retain certain user data after account deletion to the extent permitted by UAE law for audit, security, anti-fraud purposes or to comply with legal obligations.

11. Changes and updates

11.1. Ratetik has the right to change, update, temporarily suspend or supplement these Terms at any time, including without prior notice to users, if such changes are caused by legal requirements, changes in the functionality of the Portal, technical updates, the need to increase the level of security or the company's commercial needs.

11.2. All changes to these Terms and Conditions shall enter into force from the moment of their publication on the official website www.ratetik.com , unless otherwise provided in the text of the changes. The Company has the right to additionally notify users of changes via e-mail, internal messages or publications on the Portal, however, the absence of such notification shall not affect the validity of the updates.

11.3. The User is obliged to regularly review the current version of the Terms posted on this page. Continued use of the Portal after changes are made is considered as the User's full and unconditional consent to the updated provisions.

11.4. If the user does not agree with the updated terms, he is obliged to immediately stop using the Portal and/or delete his account. Further use of the service after the update is considered a legal confirmation of acceptance of the new terms.

11.5. TCC LLC FZ reserves the right to change the structure, design, functionality or any other technical aspects of the Portal without time limit and without the need to obtain the consent of users. Such changes are not grounds for a refund or termination of the agreement with the user.

12. Dispute Resolution and Applicable Law

12.1. These Terms are governed by the substantive and procedural laws of the United Arab Emirates , without regard to its conflict of law provisions. All legal relations arising in connection with the use of the Portal are subject to the exclusive jurisdiction of the courts of the UAE.

12.2. Any dispute, claim or controversy arising out of or relating to the interpretation, performance, operation or termination of these Terms, or the use of the Portal, its content or payment services, shall first be resolved through good faith negotiations between the parties. If the parties fail to reach an agreement within thirty (30) calendar days from the date of written notice of the dispute, such dispute shall be referred to the competent court of the Emirate of Dubai (UAE Courts, Emirate of Dubai) .

12.3. The User expressly agrees that any claims against TCC LLC FZ shall be brought exclusively in the courts of the Emirate of Dubai and that such courts shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms. The User waives any objections to jurisdiction, venue or language of the proceedings.

12.4. All notices, claims or legal documents related to possible disputes must be sent to the official email address of TCC LLC FZ specified in the "Contact Information" section, or in another officially designated manner. The sending of the notice is considered proper from the moment of its actual receipt by the company.

12.5. If any provision of these Terms is found by a court to be invalid or unenforceable, this shall not affect the validity of the remaining provisions, which shall remain binding and enforceable to the maximum extent permitted by law.

12.6. All legal relations between the user and TCC LLC FZ are subject to the principles of good faith, good faith, compliance with UAE legislation, norms of private international law and public order.
